Crimson Language Services Joins The TransPerfect Family Of Companies

Strategic Merger Creates The Industry's Premier Life Sciences Practice Group

October 27, 2005 - TransPerfect Translations, a world leader in multilingual communication services, today announced that Crimson Language Services has joined its growing family of companies.

The merger creates a newly-formed Life Sciences Division that combines Crimson's ISO 9001:2000/ISO 13485:2003 certified quality system and patent-pending risk management methodology with the production resources and localization talent of TransPerfect and its software localization unit, Translations.com.

Crimson's Financial Translations unit will be combined with TransPerfect's existing financial practice group—providing enhanced resources for Sarbanes-Oxley compliant financial translations.

TRANSPERFECT ACQUIRES IMPORTANT QUALITY SYSTEM & IP ASSETS

Included in the merger are important quality system (QS) and intellectual property (IP) assets—specifically designed for high-risk translation applications. Liz Elting, President and CEO of TransPerfect, said, "Crimson has developed the industry's only quality system, specifically designed for high-risk translation application, that is certified to ISO 9001:2000 and ISO 13485:2003, as well as endorsed to ISO 14971:2000. This is a perfect complement to our own ISO 9001:2000 certified quality system, and we are pleased to have joined forces with a team so closely aligned with our own perspectives on both quality and client satisfaction."

As part of the arrangement, TransPerfect also stands to gain ownership of the industry's first-ever risk management patent. Based on Crimson's certified quality system, the patent-pending methodology controls translation risk at both the resource and the process level.

MERGER STRATEGY PROMOTES RETENTION, GROWTH

Phil Shawe, President and CEO of Translations.com, added, "Unlike some M&A activity, which is predicated on cost-cutting via staff reductions, the TransPerfect/Crimson union is focused completely on retention, growth, and utilizing the synergies between the companies to the benefit of our combined client base."

CRIMSON FOUNDER JOINS TRANSPERFECT SENIOR MANAGEMENT TEAM

Crimson's Founder and CEO, Marc H. Miller, will join TransPerfect as Division President and Vice President of Quality Systems. Miller, a Harvard alumnus and 13-year veteran entrepreneur of the language industry, stated, "We are extremely excited to be part of the TransPerfect family.
